Dangote Refinery Launches ₦2.15tn IPO as Firm Targets 10 Million Investors
Dangote Petroleum Refinery and Petrochemicals is preparing to open what is expected to be Africa’s largest initial public offering, with the company targeting up to 10 million retail investors. The offer will sell 4.1 billion shares at ₦525 each, allowing eligible investors to participate with a minimum of ₦5,250.

Dangote Petroleum Refinery and Petrochemicals is set to open one of the biggest investment opportunities in Nigeria’s capital market as it prepares to launch a ₦2.15 trillion initial public offering, IPO, on September 14.
The public offer will give Nigerians and other eligible investors across Africa an opportunity to own shares in the company behind the 700,000-barrel-per-day Dangote Refinery.
The offer comprises 4.1 billion ordinary shares priced at ₦525 per share.
At that price, the company is seeking to raise approximately ₦2.15 trillion, equivalent to about $1.6 billion.
The IPO is expected to become Africa’s largest public share offering, while the company is targeting up to 10 million retail investors.
The offer is scheduled to open on September 14 and close on October 13, with the shares expected to begin trading on the Nigerian Exchange later in the year.
How Much Will It Cost to Buy Dangote Refinery Shares?
One of the most notable features of the offer is its relatively low minimum subscription.
Investors will be able to apply for as few as 10 shares.
At ₦525 per share, 10 shares would cost ₦5,250 before applicable charges.
That means investors do not need millions of naira to participate in the public offer.
The structure is deliberately designed to encourage retail participation, with Dangote Group executives saying the objective is to give ordinary Nigerians and other Africans an opportunity to become shareholders in one of the continent’s largest industrial projects.
Dangote Targets 10 Million Investors
The company is targeting as many as 10 million retail shareholders.
That would represent an enormous increase in participation compared with Nigeria’s existing retail-investor record.
According to transaction advisers, the target is roughly 20 times the current retail participation record of about 131,000 investors.
The offer is being structured around electronic distribution through banks, fintech platforms, stockbrokers and other approved financial intermediaries.
This means eligible investors should be able to participate without having to physically visit a brokerage office.
Aliko Dangote has said the broad ownership strategy is one of the main reasons the company is limiting the size of the public offer.
He has argued that the IPO is not simply about raising money but about allowing ordinary Africans to own part of the refinery.
The offer also includes an incentive arrangement under which qualifying retail investors may receive additional shares if they meet the required holding conditions.
What Will the Money Be Used For?
The IPO proceeds are primarily intended to support the refinery's capital expenditure programme and expansion plans.
Dangote Refinery currently has a stated capacity of 700,000 barrels per day.
The company plans to increase that capacity to 1.4 million barrels per day.
The expansion is expected to strengthen the refinery's position as a major supplier of refined petroleum products in Nigeria and across Africa.
Reuters reports that Dangote has outlined a wider $14.3 billion expansion programme, with the capacity increase targeted for completion by 2029.
The company has also indicated plans to expand its distribution infrastructure across West Africa and develop additional energy-related projects on the continent.
Why the IPO Matters to Nigeria
The Dangote Refinery IPO is significant because it could bring one of Nigeria’s largest privately owned industrial assets into wider public ownership.
The refinery began operations in 2024 and has become an increasingly important part of Nigeria's petroleum industry.
For years, Nigeria depended heavily on imported refined petroleum products despite being one of Africa's major crude-oil producers.
The Dangote Refinery has changed that equation by creating a large domestic refining operation capable of supplying petroleum products to Nigeria and international markets.
A successful IPO could therefore have implications beyond the capital market.
It could increase public participation in the country's energy sector while providing the refinery with access to a broader pool of investors.
The company is also positioning the refinery as a pan-African energy business rather than simply a Nigerian fuel supplier.
What Investors Should Know
The fact that the IPO is attracting enormous attention does not mean that buying the shares is guaranteed to make investors money.
An IPO is an investment in a company, and the value of shares can rise or fall after they begin trading.
Potential investors should therefore read the official prospectus, understand the risks and use only approved subscription channels.
Dangote's official IPO website specifically warns investors to subscribe only through approved channels and says the company will never request a PIN, password or OTP.
This warning is particularly important because the huge public interest surrounding the offer could create opportunities for fraudsters to impersonate brokers or create fake investment platforms.
Investors should verify any subscription platform before transferring money.
A Major Test for Nigeria's Capital Market
The IPO will also serve as an important test for Nigeria's capital market.
If Dangote succeeds in attracting millions of retail investors, it could demonstrate that Nigerian households are willing to participate more actively in equities when investment opportunities are accessible and affordable.
It could also encourage other large Nigerian companies to consider public listings.
Transaction advisers have described the offering as an opportunity to broaden participation in the Nigerian capital market and potentially create a model for future large-scale public offerings.
The proposed listing could also significantly increase the size of the Nigerian Exchange once the refinery's shares begin trading.
For ordinary Nigerians, however, the immediate attraction is simple.
For ₦5,250, an eligible investor can apply for the minimum 10 shares.
Whether those shares eventually become more valuable will depend on the refinery's performance, profitability, market conditions and investor demand.
The IPO therefore represents an opportunity, not a guaranteed return.
As September 14 approaches, millions of potential investors will be watching closely to see whether Dangote can achieve its extraordinary target of 10 million shareholders.
If it succeeds, the offering could mark a significant moment in Nigeria's financial history.
